1. Acceptance of Terms

This website is operated by Taskflowify, LLC, a Texas limited liability company incorporated and operating in the State of Texas, doing business as Assist Staff. These Terms of Service ("Terms", "Agreement") govern your use of Assist Staff's website, platform, and services (collectively, "Services"). By accessing or using our Services, you agree to be bound by these Terms and all applicable Texas and federal laws.

By using our Services, you represent that you are at least 16 years old and have the legal capacity to enter into this Agreement. If you do not agree with any part of these Terms, you may not access or use our Services.

2. Account Registration and Security

Registration Requirements

To use certain features of our Services, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your information to keep it accurate
  • Maintain the security and confidentiality of your account credentials
  • Accept all responsibility for all activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account
  • Not create an account using a false identity or impersonating another person

Account Security

You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account information.

3. License Grant and Restrictions

License to Use Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Services for your personal or internal business purposes
  • Configure and manage intelligent voice agents through the Services
  • Use the Services in accordance with these Terms and applicable law

Usage Restrictions

You agree NOT to:

  • Copy, modify, or create derivative works of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Rent, lease, sell, sublicense, or transfer the Services to third parties
  • Remove or modify any proprietary notices from the Services
  • Use the Services for any illegal or unauthorized purpose
  • Interfere with or disrupt the Services or servers/networks
  • Attempt to gain unauthorized access to any portion of the Services
  • Use automated systems (bots, scrapers) without express permission

4. Acceptable Use Policy

You agree to use our Services in compliance with all applicable laws and regulations. Prohibited activities include:

  • Illegal Activities: Using the Services for any unlawful purpose or in violation of any laws
  • Harmful Content: Uploading or sharing content that is defamatory, obscene, harassing, threatening, or violates intellectual property rights
  • Malicious Code: Transmitting viruses, malware, or any harmful code
  • Interference: Interfering with other users' use of the Services
  • Impersonation: Impersonating any person or entity, or falsely representing affiliation
  • Spam: Sending unsolicited communications or engaging in spam activities (for SMS-specific requirements see Section 17 below)
  • Data Mining: Harvesting or collecting user information without consent
  • System Abuse: Attempting to overload, crash, or otherwise abuse system resources

5. Intellectual Property Rights

Our Content

The Services and all content, features, and functionality (including but not limited to software, text, displays, images, video, and audio) are owned by Taskflowify, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain all ownership rights to content you upload or create using our Services ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Use, store, display, and reproduce your User Content as necessary to provide the Services
  • Process your User Content with intelligent automation and machine learning services to provide voice agent features
  • Create backups and ensure service availability

This license terminates when you delete your content or close your account, except for content that has been shared with others or is required for legal compliance.

6. Payment and Billing

Fees and Payment

  • All fees are stated in US Dollars (USD) unless otherwise specified
  • Payment is required at the time of purchase or when subscribing to paid plans
  • We use third-party payment processors (Stripe) to process payments securely
  • You authorize us to charge your payment method for all fees incurred
  • All sales are final unless otherwise stated in our refund policy

Subscriptions

  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • You can cancel your subscription at any time through your account settings
  • Cancellations take effect at the end of the current billing period
  • No refunds or credits for partial months or unused services
  • We may change subscription fees with 30 days' advance notice

Refund Policy

Refunds are provided at our discretion. To request a refund, contact support within 14 days of purchase. Refunds may be denied for violations of these Terms or misuse of the Services.

7. Service Level and Availability

Service Commitment

We strive to provide reliable and continuous service availability. However, we do not guarantee that:

  • The Services will be uninterrupted, timely, secure, or error-free
  • All features will be available at all times
  • Results obtained from using the Services will be accurate or reliable
  • Any errors in the Services will be corrected

Modifications and Maintenance

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, for maintenance, upgrades, or other reasons. We are not liable for any modification, suspension, or discontinuance of the Services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Taskflowify, LLC shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses
  • Our total liability for any claims arising from or relating to these Terms or the Services shall not exceed the amount you paid us in the 12 months prior to the claim
  • We are not liable for damages arising from: unauthorized access to your account, interruptions or errors in the Services, third-party content or services, or your misuse of the Services

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

9. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Services will meet your requirements or be uninterrupted, timely, secure, or error-free
  • Warranties regarding the accuracy, reliability, or quality of any content or information obtained through the Services

10. Indemnification

You agree to indemnify, defend, and hold harmless Taskflowify, LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your User Content
  • Any misuse of the Services

11. Termination

Termination by You

You may terminate your account at any time through your account settings or by contacting support. Upon termination, your right to use the Services will immediately cease.

Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including:

  • Violation of these Terms or our Acceptable Use Policy
  • Fraudulent, illegal, or abusive activity
  • Non-payment of fees
  • Upon your request
  • For any other reason at our sole discretion

Effect of Termination

Upon termination, we may delete your account and all associated data. We are not obligated to retain or provide you with copies of your User Content after termination. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

12. Dispute Resolution and Arbitration

Informal Resolution

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally. Contact: [email protected]

Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration will be conducted in English in the United States.

Class Action Waiver

You agree to resolve disputes with us only on an individual basis and not as part of any class, consolidated, or representative action. There will be no right or authority for any dispute to be brought, heard, or arbitrated as a class action.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas and applicable federal laws of the United States, without regard to conflict of law provisions. Taskflowify, LLC operates under the Texas Business Organizations Code. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Harris County, Texas, and you irrevocably consent to the personal jurisdiction and venue of such courts. This choice of law and venue applies regardless of where you access or use the Services.

14. Texas Data Privacy Compliance

As a Texas-based company, we comply with the Texas Data Privacy and Security Act (TDPSA), the Texas Identity Theft Enforcement and Protection Act, and the Texas Deceptive Trade Practices Act. Your use of the Services is subject to these protections, including:

  • Your right to access, correct, delete, and port your personal data
  • Your right to opt out of targeted advertising and the sale of personal data
  • Our obligation to process your data only for disclosed purposes
  • Our obligation to implement reasonable data security practices
  • Our obligation to notify you of data breaches as required by Texas law

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the new Terms on this page with an updated "Last Updated" date
  • Sending an email notification to your registered email address
  • Displaying a prominent notice on our website

Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

16. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Taskflowify, LLC regarding the Services and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country.

17. SMS / Text Messaging

Taskflowify, LLC is a Texas company, and the text-messaging features of the Services are offered for transactional use only — short appointment reminders, callback confirmations, and post-interaction follow-ups tied to a caller's prior contact with a tenant. Outbound texts are delivered through our messaging provider, SignalWire, over A2P 10DLC business numbers registered with The Campaign Registry as a conversational / low-volume use case. Your use of any text-messaging feature is subject to this Section and to the general Acceptable Use Policy above, and is governed by Texas law as set out in Section 13.

17.1 Permitted Uses — No Bulk Marketing

You may use the text-messaging features only for:

  • Short transactional reminders and confirmations to a recipient who gave you their mobile number for that purpose (appointment reminders, callback confirmations, missed-call follow-ups);
  • Customer-service follow-ups to someone who recently contacted your business; and
  • Account-security texts to the account holder, such as MFA codes.

You may not use the Services for bulk marketing, promotional blasts, advertising, solicitation texts, lead-generation outreach, or prospecting to numbers the recipient did not give you directly. Marketing-class messaging requires our prior written approval and a separately registered marketing campaign in The Campaign Registry under your own brand.

17.2 Consent and Recordkeeping

When you send a text through the Services, you represent that:

  • The recipient gave you their mobile number directly, in the ordinary course of your business, for the purpose of receiving the type of message you are sending. For transactional reminders and follow-ups, this satisfies "prior express consent" under the federal Telephone Consumer Protection Act (47 U.S.C. § 227).
  • You obtained each number lawfully from the recipient, or from a source the recipient authorized.
  • You will keep a record of how, when, and where you received each recipient's number, and of any opt-out activity, for at least four (4) years after the last message you send to that recipient.

17.3 Texas and Federal Rules You Must Follow

You agree to comply with all applicable Texas and federal laws and carrier rules, including:

  • Texas Telephone Solicitation Act (Tex. Bus. & Com. Code Ch. 302): If your messaging would qualify as a "telephone solicitation," Texas requires you to register with the Secretary of State and post a security bond. The Services are licensed to you only for transactional reminders and follow-ups; activity requiring Chapter 302 registration is not authorized without our written approval.
  • Texas Telemarketing Disclosures & Regulation (Tex. Bus. & Com. Code Ch. 304): Includes the Texas No Call List. You will not send marketing texts to numbers on the Texas No Call List or the federal Do Not Call Registry.
  • Texas Deceptive Trade Practices — Consumer Protection Act (Tex. Bus. & Com. Code Ch. 17): No text you send through the Services may be misleading, deceptive, or false in its content, sender identification, or call to action.
  • Texas Identity Theft Enforcement & Protection Act (Tex. Bus. & Com. Code Ch. 521): Protect any sensitive personal information of recipients you transmit, and notify us promptly if any of it is compromised.
  • Texas Data Privacy & Security Act / TDPSA (Tex. Bus. & Com. Code Ch. 541): Honor recipient rights to access, correct, delete, port, and opt out of their mobile data within the TDPSA's timing rules.
  • Federal TCPA (47 U.S.C. § 227) and the FCC's 2024 rule requiring senders to honor an opt-out within ten (10) business days. Our platform honors opt-outs immediately on registered 10DLC traffic.
  • CTIA Messaging Principles & A2P 10DLC: Use registered numbers only for the registered conversational / transactional use case. You may not switch the traffic to marketing without re-registering the campaign.

17.4 Content You May Not Send

You may not use the Services to send a text that:

  • Contains SHAFT-DC content (sex, hate, alcohol, firearms, tobacco, drugs, cannabis) in any form;
  • Is a marketing or solicitation message of any kind (see Section 17.1);
  • Contains phishing, smishing, fraud, or deceptive content, or would violate the Texas DTPA;
  • Impersonates another person, business, or government agency, or comes from a spoofed or masked sender;
  • Promotes high-risk financial products (payday loans, high-interest short-term credit, debt elimination), sweepstakes, contests, or lotteries;
  • Goes to a recipient who has opted out, is on the Texas No Call List, or is on the federal Do Not Call Registry; or
  • Violates any other content policy the carrier or The Campaign Registry has in effect.

17.5 STOP and HELP

The Services automatically recognize STOP, UNSUBSCRIBE, CANCEL, END, and QUIT as opt-out keywords and mark the recipient as opted out across the platform. You will not work around an opt-out by re-messaging from another number or list unless the recipient has separately and verifiably opted back in, and you will not disable or interfere with our STOP/HELP handling. Each outbound message must clearly identify the sending business and, where federal or Texas law requires it, must include opt-out instructions.

17.6 Penalty Pass-Through

If a wireless carrier, The Campaign Registry, the Texas Attorney General, the FCC, or any other regulator assesses a fee, fine, filtering penalty, or suspension against us because of texts sent under your account, we may pass that cost through to you, charge your payment method on file, and suspend or terminate your text-messaging privileges pending investigation. This is in addition to any other remedy available to us under these Terms.

17.7 Indemnification

In addition to Section 10, you will defend, indemnify, and hold harmless Taskflowify, LLC and its officers, directors, employees, agents, and affiliates from any claim, demand, loss, damage, cost, fine, penalty, settlement, or expense (including reasonable attorneys' fees) arising out of texts sent through your account, including TCPA actions, enforcement under Tex. Bus. & Com. Code Ch. 302, 304, 17 (DTPA), 521, or 541 (TDPSA), Texas Attorney General investigations, carrier penalties, registration disputes, and claims arising from your failure to obtain or honor consent.

17.8 Texts We Send You

Separate from tenant messaging, we may send the account holder texts for account security (such as MFA codes), billing or provisioning alerts, and other transactional notices about your use of the Services. By giving us a mobile number at signup or in account settings, you agree to receive these texts. Standard message and data rates may apply. You can turn off SMS-based MFA in your account security settings; we may still send service texts where required to protect your account or to meet our contract with you.
